These Terms of Use ("Terms") govern your access to and use of SalesUp, the web and mobile application platform owned and operated by Novel Cloud Systems ("NCSYS", "we", "us", or "our"), a Saudi-British company. By creating an account or using SalesUp, you agree to be bound by these Terms.

1. About SalesUp

SalesUp is a B2B networking platform that helps companies and individual professionals eliminate the need for traditional field sales activities by connecting resellers, partners, and sales opportunities in just a few clicks, through features such as Radar matching and the Stream community feed.

2. Eligibility and Account Registration

• You must provide accurate, current, and complete information when registering, whether as an individual or a corporate account.
• You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
• New accounts must verify their email address via the one-time password (OTP) sent upon registration before gaining full access to the platform.
• You must be legally authorized to represent your company when registering a corporate account, and the business information provided (company name, CRN, VAT number, etc.) must be accurate.

3. Acceptable Use

You agree not to:

• Post false, misleading, defamatory, or unlawful content on your profile, in the Stream, or anywhere else on the platform.
• Use SalesUp to send spam, unsolicited commercial messages, or to flood the platform with repetitive posts, comments, or contact requests.
• Attempt to gain unauthorized access to other users' accounts or to the platform's systems, or interfere with the Radar matching or security mechanisms (including rate-limiting protections).
• Impersonate another person or entity, or misrepresent your affiliation with any company.
• Upload content that infringes the intellectual property, privacy, or other rights of any third party.

4. Content You Submit

You retain ownership of the content (posts, comments, profile information, attachments) you submit to SalesUp, but you grant Novel Cloud Systems a worldwide, non-exclusive, royalty-free license to host, display, and distribute that content as necessary to operate and promote the platform. You are solely responsible for the accuracy and legality of the content you post.

5. Individual vs. Corporate Accounts

SalesUp tailors certain features based on your account type:

• Corporate accounts provide business details (company name, CRN, VAT number, business category, activity, and offerings) to be matched with potential resellers and partners.
• Individual accounts provide specialities/tags, current or last position, and job-seeking status to be matched with relevant opportunities on the Radar.

6. Subscriptions and Fees

Certain features of SalesUp may be offered free of charge, while others may require a paid subscription. Where applicable, pricing, billing, and cancellation terms will be clearly presented before you commit to a paid plan.

7. Intellectual Property

The SalesUp name, logo, design, software, and underlying technology are the exclusive property of Novel Cloud Systems and are protected by applicable intellectual property laws. You may not copy, modify, reverse-engineer, or create derivative works from the platform without our prior written consent.

8. Suspension and Termination

We may suspend or terminate your account, with or without notice, if you violate these Terms, misuse the platform, or if required by law. You may also close your account at any time by contacting us.

9. Disclaimer of Warranties

SalesUp is provided "as is" and "as available." While we strive for high availability and accuracy of matches made through Radar, we do not guarantee uninterrupted service or specific business outcomes resulting from connections made on the platform.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Novel Cloud Systems shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of, or inability to use, SalesUp, including loss of business, revenue, or data.

11. Governing Law

These Terms are governed by the laws of the Kingdom of Saudi Arabia, without prejudice to any mandatory consumer protection or data protection laws applicable in the United Kingdom or your place of residence.

12. Changes to These Terms

We may revise these Terms from time to time. We will notify you of material changes through the platform or by email. Continued use of SalesUp after changes take effect constitutes your acceptance of the revised Terms.
